Specific Arrangements for CEPA

Hong Kong and Macau service suppliers are permitted to establish wholly-owned or joint venture cargo agent companies in mainland China.

Requirements for Incorporation

• The registered capital is subject to the lower limits required as follows:
  • RMB5 million for starting a seaway international cargo-forwarding agency business
  • BMB3 million for starting an airway international cargo-forwarding agency business
  • RMB2 million for starting a land-way international cargo-forwarding agency business or international express delivery business
  • The higher or highest amount of the above lower limits of registered capital for starting 2 or more of the foregoing businesses
• There shall be 5 or more members of business personnel, who have 3 or more years of experience in the international cargo-forwarding agency business, or who have gained relevant qualification certificates
• There shall be a fixed business ground/office
• It shall possess necessary communications, transportation, loading/unloading, and packing facilities
• It has a operating period not exceeding 20 years, in general

Branches Incorporation

After the registered capital is fully paid, the company can apply for setting up branches in other places in mainland China. An additional capital of RMB500,000 is required for setting up each branch. If the original registered capital has already exceeded the lower limit, the excess portion can be used as capital increase for setting up the branches.

• Application for incorporation
• Feasibility study report
• Contracts, and articles of association
• The register and curriculum vitae of members of the Board of directors and chief executives
• Enterprise Name Approval in Advance Notice
• Certificates of incorporation and credit certificates of investors in their proper locations
• Qualification certificates of major investors
• Proof of business ground/office of the corporation
